Terms of Service

Eligibility and Accounts

You must be at least 18 years old and have the authority to bind your organization to these Terms. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. Notify us immediately at [email protected] of any unauthorized access.

Subscriptions, Fees, and Taxes

Access to paid Services is provided on a subscription basis. Fees, billing cycles, and plan features are described at checkout or in an order form. Unless otherwise stated, fees are non-refundable, exclude applicable taxes, and auto-renew for successive terms equal to the initial term. You authorize us to charge your payment method for all fees due.

Authorization to Scan and Monitor

The Services perform automated vulnerability assessments and attack surface discovery that may probe externally reachable assets, enumerate subdomains, fingerprint services, and send traffic that could be treated as intrusive by third parties. You represent and warrant that, for every asset you submit or that is discovered under your account (including domains, subdomains, IP ranges, web applications, APIs, and cloud accounts), you either own the asset or have obtained all necessary rights, consents, and authorizations from the owner and any applicable hosting, cloud, or network provider to be scanned and monitored. You are solely responsible for ensuring that your use of the Services complies with all applicable laws (including computer-misuse, anti-hacking, and privacy laws), contracts, and third-party policies. Oriso may, at its discretion, decline to scan assets or suspend activity where authorization is in doubt.

Acceptable Use

You agree not to:

• use the Services to scan assets you are not authorized to test;
• attempt to disrupt, disable, or circumvent the security or integrity of the Services;
• reverse engineer, decompile, or create derivative works of the Services, except where permitted by law;
• upload unlawful, infringing, or harmful content;
• use the Services to violate any applicable law or third-party right.

Customer Data

You retain all rights in the data, content, and configurations you submit to the Services (“Customer Data”). You grant Oriso a worldwide, limited license to host, process, and transmit Customer Data solely to provide and support the Services. We may generate aggregated and de-identified statistics from use of the Services, which we own.

Intellectual Property

The Services, including software, models, reports, documentation, and trademarks (including the “Vullify” name and logo), are owned by Oriso or its licensors and are protected by applicable intellectual property laws. Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable right to use the Services during your subscription. All rights not expressly granted are reserved.

Third-Party Services

The Services may interoperate with third-party products or integrations. Your use of third-party services is governed by the applicable third-party terms and privacy policies, and Oriso is not responsible for those services.

Confidentiality

Each party will protect the other’s non-public information using at least the same degree of care it uses for its own confidential information and will use it only to exercise rights and perform obligations under these Terms.

Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORISO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. VULNERABILITY SCANNING IS NOT A SUBSTITUTE FOR COMPREHENSIVE SECURITY PROGRAMS, AND WE DO NOT WARRANT THAT THE SERVICES WILL IDENTIFY ALL VULNERABILITIES OR PREVENT INCIDENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, OR DATA. EACH PARTY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS WILL NOT EXCEED THE FEES PAID OR PAYABLE BY YOU TO ORISO FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Indemnification

You agree to defend, indemnify, and hold harmless Oriso, its affiliates, and their respective officers, directors, employees, and agents from any third-party claims arising from your misuse of the Services, your Customer Data, or your breach of these Terms, including any claim that you lacked authorization to scan an asset.

Suspension and Termination

We may suspend or terminate your access if you breach these Terms, fail to pay, or engage in activity that risks harm to the Services or third parties. Upon termination, your right to use the Services ceases, and any outstanding fees become immediately due. Sections that by their nature should survive termination will do so.

Governing Law and Disputes

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the courts located in the judicial district of Longueuil, Quebec, except where prohibited by applicable law.

Changes to the Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
